ISS Adds Section 404 2006 p

Institutional Shareholder Services (ISS) has released its 2006 U.S., Canadian and international proxy voting policy updates. Additional features include section 404, director performance and tally sheet policies.

The new policies will be applied for U.S. and Canadian companies on or after February 1, 2006.

Through our client 'policy jam,' our issues-based advisory roundtables and our continuous market outreach efforts, the ISS policy board received an enormous amount of input on key corporate governance issues that lead to a proxy voting policy that is very well aligned with the views of institutional investors, said Cheryl Gustitus, ISS' senior vice president of communications.

Disclosures under Section 404 of the Sarbanes-Oxley Act will appear for the first time.

Directors will also come under ISS glare with performance tests. CEOs will also have tally sheets for pay.
